Outpace does not wish to receive disclosures that are neither invited nor approved by Outpace by prior written permission. Please be aware of the following information.

All content provided to Outpace (by any means of communication) that is neither invited nor approved by Outpace by prior written permission for submission to Outpace shall be deemed “Unsolicited Content.” For clarity, documents related to legal process(es) shall not be considered Unsolicited Content.

The term “Outpace” is meant to include “Representatives” of the Outpace, including but not limited to, employees, independent contractors, and agents of Outpace.

Exemplary Unsolicited Content includes, but is not limited to, all content provided to Outpace through:

• our website and/or social media accounts, 
• our “contact us” prompt, 
• our email accounts, including but not limited to, our info@outpacebio.com and/or collaborate@outpacebio.com addresses
• physical submissions delivered to our physical location
• direct communication (by any means) to a Representative of Outpace.

By submitting Unsolicited Content to Outpace (by any means of communication) you acknowledge and agree that you, when acting as an individual or when acting on behalf of a legal entity: 

• have the express power and express authority to disclose this Unsolicited Content to Outpace;
• waive, release, and discharge Outpace from any and all liability arising from the disclosure of this Unsolicited Content or the use of this Unsolicited Content by Outpace; 
• will indemnify and hold harmless Outpace from and against any and all claims arising from the disclosure of this Unsolicited Content or the use of this Unsolicited Content by Outpace.

By submitting Unsolicited Content to Outpace (by any means of communication) you represent that:

• this Unsolicited Content is not subject to any obligation or duty owed to any party, including but not limited to, an obligation or a duty prohibiting disclosure or use of the Unsolicited Content; and
• Communication of this Unsolicited Content to Outpace does not violate a legal right, including an intellectual property right, of another.

By submitting Unsolicited Content to Outpace (by any means of communication) you acknowledge and agree that:

• Communication of this Unsolicited Content to Outpace constitutes a public disclosure of the Unsolicited Content; 
• Communication of the Unsolicited Content to Outpace does not create, now or ever, a business relationship with Outpace, including but not limited to, a collaboration or a joint venture with Outpace.
• Outpace has no obligation to enter into negotiations or to consider a business relationship related to this Unsolicited Content or as a consequence of submitting this Unsolicited Content to Outpace.
• Outpace has no obligation of confidentiality, non-disclosure or non-use with respect to this Unsolicited Content.
